These Terms of Service ("Terms") constitute a legally binding agreement between Mesmerized Studio, a company operating under the laws of the Netherlands ("Mesmerized Studio", "we", "us", or "our"), and you, whether personally or on behalf of an entity ("Client", "you", or "your"), regarding your access to and use of our website at mesmerized.studio ("Website") and our digital product services ("Services").

Mesmerized Studio is registered with the Dutch Chamber of Commerce (KVK) under number 85393061 and has VAT number NL004089148B26.

By accessing or using our Website or Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

These Terms should be read alongside our Privacy Policy and Cookie Policy.

1. Our Services

Mesmerized Studio provides the following subscription-based digital product services:

• Website Development: Custom-designed websites with CMS
• SEO: Search engine optimization and ranking improvement
• E-commerce: Online store development and management
• Meta Ads: Paid social media advertising management
• Automation & AI: Workflow automation and AI-powered task execution

We also offer project-based services (SaaS Platform, Mobile App, Branding & Identity, Hosting & Infrastructure) and the Mesmerized Club, an unlimited design and development subscription.

2. Subscription Model & Pricing

2.1 Per-Service Subscriptions

Each service offers three subscription tiers: Starter, Growth, and Scale. Pricing for each tier is displayed on the respective service page and may change at any time. The price in effect at the time of subscription is locked for the duration of your active subscription.

2.2 Mesmerized Club

The Mesmerized Club is an unlimited design and development subscription for a flat monthly fee. It includes unlimited requests (processed one at a time), unlimited projects, and average 48-hour delivery per request.

2.3 Bundle Discounts

When subscribing to multiple services, the following bundle discounts apply automatically:

• 2 services: 10% discount on total monthly cost
• 3+ services: 15% discount on total monthly cost

Bundle discounts are calculated on the combined monthly total and applied via Stripe coupons. Discounts remain active as long as the qualifying number of subscriptions is maintained.

2.4 Founding Client Offer

Special founding pricing may be available for early clients. Founding prices are limited-time offers and may be withdrawn at any time. Existing founding subscribers retain their pricing for as long as their subscription remains active without cancellation.

2.5 Billing & Auto-Renewal

All subscriptions automatically renew on a monthly basis until cancelled. Payment is processed via Stripe at the beginning of each billing cycle. You can manage your subscriptions, upgrade, downgrade, or cancel at any time via our subscription management portal.

2.6 Taxes

All prices are in Euros and exclude applicable VAT (btw). For EU clients, VAT is added based on your country's rate. For non-EU clients, local taxes may apply. Dutch VAT (21%) applies to consumers and non-VAT-registered businesses in the Netherlands.

3. Subscription Management

3.1 Magic Link Authentication

Subscription management uses a secure magic link system. Enter your email address, and we send a time-limited link (valid for 15 minutes) that grants access to your subscription dashboard. No password is required. Keep your email account secure, as anyone with access to your email can access your subscription management.

3.2 Upgrades & Downgrades

• Upgrades: Take effect immediately. The prorated difference is charged on your next invoice.
• Downgrades: Take effect at the start of your next billing cycle. You retain your current tier until then.

3.3 Adding Services

Additional services can be added at any time. New subscriptions start immediately and are prorated for the remaining billing period. Bundle discounts recalculate automatically.

3.4 Cancellation

You may cancel any subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to the subscribed service until then. Cancelled subscriptions can be reactivated at any time (subject to current pricing).

3.5 Payment Processing

All payments are processed by Stripe. We do not store credit card details. Invoices are available via the Stripe customer portal.

4. Refund Policy

4.1 Subscription Services

Due to the digital nature of our services, subscriptions are non-refundable for billing periods already paid. You may cancel at any time to prevent future charges.

4.2 Project-Based Services

For fixed-scope projects, a 50% deposit is required before work begins. The deposit covers initial discovery, design, and setup work. If you cancel after work has commenced, the deposit is non-refundable. Completed work up to the cancellation point will be delivered to you.

4.3 EU Consumer Withdrawal Right

EU consumers have a 14-day withdrawal right for distance contracts under Article 6:230o of the Dutch Civil Code. However, for digital content and custom services, this right expires once delivery has begun with your express consent (Art. 6:230p). By subscribing to our services, you acknowledge that work begins immediately and expressly consent to early delivery, waiving the 14-day withdrawal right to the extent permitted by law.

4.4 Service-Level Commitment

We strive to deliver all subscription work within the stated timeframes (typically 24-48 hours for Club requests, per-tier timelines for service subscriptions). However, we do not guarantee specific delivery times, as they depend on request complexity, timely client feedback, and scope clarity.

5. Intellectual Property

5.1 Client Ownership

All custom design work, source code, and creative materials created specifically for you as part of a paid subscription or project become your exclusive property upon full payment of all applicable fees. You receive all copyrights, trademarks, and other IP rights in the delivered work.

5.2 Studio Ownership

We retain ownership of: our proprietary processes, methodologies, templates, internal tools, pre-existing components, the Website itself, and all content not specifically created for you. Open-source components are licensed under their respective licenses.

5.3 Portfolio Rights

We may display completed work in our portfolio, website, social media, and marketing materials unless you provide a written request (or signed NDA) asking us not to. We will honor such requests within 14 days.

5.4 Client Materials

You warrant that all materials provided to us (content, images, logos, API keys, access credentials) are owned by you or properly licensed. You are responsible for ensuring no third-party rights are infringed.

5.5 Third-Party Licenses

Subscriptions do not include third-party licenses (fonts, stock images, plugins, SaaS tools). You are responsible for obtaining and maintaining all necessary licenses for your project.

6. Service Scope & Revisions

6.1 Scope

Each service tier has a defined scope (listed on the service page). Work outside the tier scope will be quoted separately. For the Mesmerized Club, scope is defined per-request on your Trello board.

6.2 Revisions

• Mesmerized Club: Unlimited revisions within the subscription period
• Service subscriptions: Revisions as described in the tier features
• Project-based: Up to 2 revision rounds per milestone; additional revisions billed separately

6.3 Client Responsibilities

• Provide timely feedback (within 5 business days for subscriptions)
• Provide required content, access, and materials when requested
• Maintain accurate billing information
• Use services in compliance with applicable laws

Delivery timelines may be affected by delays in client feedback or content provision.

6.4 Acceptance

Upon delivery, you have 14 days to review and request changes. If no feedback is received within 14 days, the deliverable is deemed accepted.

7. Automation & AI Services (Specific Terms)

7.1 AI Processing

Our Automation & AI service may use AI tools (OpenAI, Anthropic) to execute tasks. AI-generated outputs are reviewed by our team before delivery. You are responsible for reviewing AI-generated content for accuracy and appropriateness before publishing.

7.2 Workflow Ownership

N8N workflow configurations created for you become your property upon full payment. However, generic workflow templates and our internal N8N nodes remain our property.

7.3 Credential Security

You are responsible for providing API keys and access credentials. We encrypt all credentials at rest. You should use scoped, read-only credentials where possible and rotate keys regularly.

8. Hosting & Infrastructure

If hosting is included in your subscription, we provide best-effort uptime monitoring and maintenance. We do not guarantee specific uptime percentages. We are not liable for data loss caused by factors outside our control. Automated daily backups are maintained, but we recommend you maintain your own backups of critical data.

9. Data Protection (GDPR)

Our processing of personal data is governed by our Privacy Policy. For business clients where we act as a Data Processor, a Data Processing Agreement (DPA) is available upon request. Our services are not directed to individuals under 16 years of age.

10. Communication

You consent to receive service-related communications via email (project updates, invoices, security notices). Marketing communications require separate consent and can be opted out of at any time.

11. Termination

11.1 By Client

You may terminate any subscription at any time via the management portal or by contacting us.

11.2 By Mesmerized Studio

We may suspend or terminate services if: payment is overdue by more than 14 days, you violate these Terms, or continued service poses a security or legal risk. We will provide 7 days' notice where possible, except in cases of abuse or non-payment.

11.3 Effect of Termination

• Active subscriptions end at the close of the current billing cycle
• Outstanding payments remain due
• IP ownership provisions survive termination
• Hosting and service access ceases (data export available upon request within 30 days)

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for: third-party service outages, force majeure events, client-provided content, or data loss where backups were the client's responsibility

Consumer protection: Nothing in these Terms limits statutory consumer rights under EU and Dutch law. If you are a consumer, you retain all rights granted by mandatory law.

13. Indemnification

You agree to indemnify Mesmerized Studio against claims arising from: your use of services in violation of these Terms, client-provided materials that infringe third-party rights, or violations of applicable laws.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, internet infrastructure failures, or third-party service outages.

15. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Disputes will be resolved in Dutch courts, except where EU consumer protection law entitles you to bring proceedings in your country of residence. We are registered in Meppel, Netherlands.

16. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or website notice at least 14 days before taking effect. Continued use of our Services after the effective date constitutes acceptance.

17. Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
